UNITY FEEDBACK ADDITIONAL TERMS

Effective as of: July 6, 2020

These Unity Feedback Additional Terms (“Feedback Terms”) govern your participation in or application to be considered for participation in a Feedback Activity (defined below) with Unity and constitute a binding legal agreement between you and Unity (sometimes “we” and “our”). These Feedback Terms supplement and incorporate the Unity Terms of Service (together with the Feedback Application Terms are the “Site Terms”).

You acknowledge and agree that, by participating in a Feedback Activity and/or submitting an Application (defined below), you are indicating that you have read, understand and agree to be bound by these Site Terms. If you do not or cannot accept these Site Terms, you may not participate in a Feedback Activity or submit an Application. For the avoidance of doubt, these terms will only apply to Feedback Activities provided subject to your consent to these Feedback Terms. Any capitalized terms not defined in these Feedback Terms have the same meaning as in the Site Terms.

1. ELIGIBILITY

1.1. General. In addition to any restrictions set forth in the Site Terms, to participate in a Feedback Activity and/or submit an Application, you represent and warrant that you (a) 18 years of age or older; and (b) Unity reserves the right to verify your identity and eligibility qualifications, at any time throughout the duration of your participation in the Feedback Activity and Application review process, to our complete satisfaction (by requesting photocopy of your government issued identification documents or other proof as we may require).

1.2. Government Officials. Government Officials may apply to and participate in Feedback Activities but are prohibited from redeeming any Incentive for such participation.

2. FEEDBACK

2.1 Feedback Activity.From time to time, Unity may post opportunities on its website or email you, if opted into applicable Marketing Activities, for you to participate in or submit an Application to participate in a Feedback Activity. The nature of the Feedback Activity will be further described on the website in which the Feedback Activity or Application is hosted. Unity reserves the right to modify, suspend, cancel, or terminate all or a portion of the Application or Feedback Activity, at any time and for any reason (including your violation of the Site Terms), at our sole and absolute discretion, without prior notice or compensation to you.

2.2. Applications. In the event that your Application is selected for participation in a Feedback Activity, Unity will contact you via the email submitted with your Application to indicate your acceptance and outline the next steps in the process, which may or may not include entering into separate agreement(s) with Unity to enable you to participate in, and governing the parties’ rights and obligations for, the Feedback Activity. Notwithstanding anything in these Site Terms, Unity reserves the right to accept or reject an Application at our sole and absolute discretion and you agree to abide by the decisions of Unity with respect thereto.

2.3 Incentives. Unity may provide Incentives to you for completion of certain Feedback Activities.To the extent completion of a Feedback Activity will result in an Incentive, such Incentive will be disclosed to you either on the website in which the Feedback Activity or Application is hosted or in the email of your acceptance to participate in the Feedback Activity. For the avoidance of doubt, not all Feedback Activities will have an offered Incentive. Incentives are non-transferable (by way of assignment, sale, transfer upon death, by operation of law, or otherwise), and are void if any such transfer is attempted.

2.4. Compliance. Unity is committed to the highest possible standards of ethics and business conduct. Any Incentives provided pursuant to these Site Terms are for bonafide participation in legitimate Feedback Activities and in no way intended to improperly influence any person or company for Unity's benefit.

3. LICENSES AND OWNERSHIP

3.1. Feedback. We encourage and welcome you to provide Feedback. You acknowledge and agree that all Feedback will be the sole and exclusive property of Unity and you hereby irrevocably assign to Unity and agree to irrevocably assign to Unity all of your right, title, and interest in and to all Feedback, including without limitation all worldwide patent, copyright, trade secret, moral and other proprietary or intellectual property rights therein. At Unity’s request and expense, you will execute documents and take such further acts as Unity may reasonably request to assist Unity to acquire, perfect, and maintain its intellectual property rights and other legal protections for the Feedback.

3.2. Disclaimer. Your use of other Unity software, products, or services will be subject to each of their separate terms and conditions.

3.3. Unity Name and Marks. These terms do not grant you any rights with respect to Unity’s trademarks, service marks, logos, or other designations of origin (“Trademarks”). You must use Unity’s name in compliance with our “Guidelines for Using Unity Trademarks” available at https://unity.com/legal/branding_trademarks (the “Guidelines”).

3.4 Representations and Warranties. You represent and warrant that (i) any Feedback provided by you to Unity by you is your original work or you obtained it in a lawful manner; and (ii) our and our sublicensees’ use and exercise of the rights and licenses granted pursuant to these Site Terms will not infringe or violate any rights of any third party.

4. CONFIDENTIALITY

To the extent any non-public information about Unity or its affiliates is shared or made available to you through your access, use, or participation in a Feedback Activity, you agree that you will keep such information strictly confidential, not disclose it to any third party, and not use it for any purpose other than as permitted in accordance with these Site Terms or other agreement between you and Unity, as application. Your ability to participate in certain Feedback Activities may be predicated on execution of additional confidentiality or other agreements.

5. PRIVACY.

You agree that Unity may use the content and personal information that you submit in your Application, or via your participation in a Feedback Activity (if applicable) to (a) contact you about such Application or participation in the applicable Feedback Activity; (b) verify the information in the Application and your adherence to these Site Terms; (d) share the information with affiliates, authorized Unity personnel, and third-parties as needed to provide and administer the Application and Feedback Activity. You acknowledge and understand the Unity Privacy Policy (located at unity.com/legal/privacy-policy) will govern Unity’s use of the personal data you submit through your Application and participation in a Feedback Activity (Republic of Korea Residents agree to the Unity Collection and Use of Personal Information). Please refer to Section 7 of the Unity Privacy Policy to see how to access, update, or delete your data. You may also send any questions or requests to DPO@unity3d.com.

6. TRANSLATIONS.

To the extent that these Terms are translated, such translation is provided solely for convenience, and the English version of these Terms will govern any disputes arising here from.

7. ADDITIONAL DEFINITIONS.

“Application” means any form where you are being requested to fill out information about yourself which will be used to assess your suitability to participate in an applicable Feedback Activity.

“Feedback Activity” means an opportunity, such as a survey, interview, focus group, roundtable discussion, or other similar activity, to provide Feedback on our current, in progress, and potential products and services.

“Government Official” means any individual who is employed by a government body, regulatory agency, or any company which is owned or controlled by the government.

“Incentive” means Unity swag, gift cards, voucher codes, or other similar reward.

“Feedback” means any feedback, comments, reviews, ratings, suggestions, or any content, materials, data or information that you provide to Unity in furtherance of a Feedback Activity unless otherwise agreed in writing between you and Unity.
