Unity IAP Additional Terms

These IAP Service Additional Terms (the “IAP Terms”) govern your use of Unity’s In-App Purchase service, including the associated SDK, reporting dashboard and Webshop Service (the “IAP Service”).

By using the IAP Service, you agree to these IAP Terms. These terms supplement the Unity Terms of Service. In the event of a conflict between these IAP Terms and the Unity Terms of Service, these IAP Terms will prevail solely with respect to your use of the IAP Service.

The IAP Service generates and utilizes Developer Data. You acknowledge that your obligations regarding, and Unity’s right to use, this Developer Data are governed by the Developer Data Framework Additional Terms.

1. Applicability

These IAP Terms apply only to entities or individuals who integrate version 5.4 or later of the software development kit associated with the IAP Service (the “IAP Service SDK”). If you continue to use a legacy version of the SDK and do not upgrade to the IAP Service SDK, your use of the IAP Service will continue to be governed by the Unity Cloud Additional Terms.

2. Scope of IAP Service

2.1 Description

The IAP Service is a commerce infrastructure provided by Unity that enables you to manage in-app purchases, related commerce and transaction reporting across application marketplaces, Authorized Payment Service Providers, and the Webshop Service through the IAP Service SDK. For the purposes of these terms, “Authorized Payment Service Provider” or “Authorized PSP” means: (a) native platform payment providers; and (b) those specific payment service providers that Unity officially supports and makes available for selection within the IAP Service Dashboard and/or documentation. Unity reserves the right to add, remove, or substitute Authorized PSPs at its sole discretion.

2.2 Dashboard and Reporting

By utilizing the IAP Service, the Dashboard may allow you to view reports regarding your in-app purchases, game economy transactions, related telemetry, and other metrics that Unity may decide to include or change from time to time. You acknowledge and agree that: (a) the Dashboard reporting is provided to you for convenience purposes only, and Unity is not liable for any unavailability or inaccuracy, temporary or otherwise, of the Dashboard. Dashboard reporting does not constitute an official financial statement or record of account; and (b) the manner in which the Dashboard reports are generated, including without limitation, the manner in which your aggregate in-app purchase transactions are calculated and presented therein, may be modified by Unity at any time and without prior notice to you. You are responsible for maintaining your own independent records for tax and accounting purposes.

2.3 Your License to Unity

To enable the functionality of the IAP Service, you grant to Unity a worldwide, non-exclusive, sublicensable, royalty-free and fully paid-up license to: (i) configure and communicate the in-app store settings and configurations you implement through the IAP Service with the applicable application and application marketplaces and/or Authorized PSPs; (ii) help facilitate purchase initialization and processing, purchase receipts and receipt validation for your Projects or between your Projects and the applicable application marketplaces and/or Authorized PSPs; and (iii) access, retrieve and collect data generated by, collected through, or arising in connection with your use of the IAP Service and data held on your behalf by applicable application marketplaces and/or Authorized PSPs for the purposes of service delivery, transaction reconciliation, and financial auditing. To the extent any such data is retrieved from an application marketplace or Authorized PSP, you represent and warrant that your agreement with that party permits such access and retrieval by Unity.

3. License Grant and Usage Rights

3.1 SDK License

Subject to your compliance with these IAP Terms and the Unity Terms of Service, Unity grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable Term to (a) install and use the IAP Service SDK solely as provided for in the applicable Documentation for the purpose of integrating the IAP Service into your Project; and (b) distribute the IAP Service SDK in object code form only as an integrated component of your Project to End Users.

3.2 Service Access

Unity grants you a non-exclusive, non-transferable right to access and use the IAP Service dashboard and APIs to manage your integrations with Authorized PSPs and view your applicable transaction reporting, and, where elected by you, manage and configure your Webshop.

4. Relationship with Payment Service Providers

4.1 Direct relationship with Authorized PSP

This Section 4 applies to all aspects of the IAP Service, including without limitation transactions processing through in-app purchase mechanisms, external billing/payment links, and the Webshop Service. You acknowledge and agree that your integration with any Authorized PSP via the IAP Service is contingent upon you entering into a direct contractual relationship with that Authorized PSP. Unity is not a party to any such agreement, and your use of an Authorized PSP’s services is governed solely by the terms and conditions between you and that Authorized PSP.

4.2 Unity’s Role

You acknowledge that, notwithstanding the description of the IAP Service in Section 2.1, Unity does not facilitate the flow of funds and does not hold, manage, or process any payments in connection with transactions facilitated through the IAP Service (including the Webshop Service). For the avoidance of doubt, you acknowledge and agree that Unity is not responsible for, and has no liability in connection with:

(a) Determining which party (you or the Authorized PSP) acts as the 'Merchant of Record,' 'Seller of Record,' or similar legal entity for any transaction;

(b) Providing money transmission, payment processing, escrow, or banking services;

(c) Conducting Anti-Money Laundering (AML), Know Your Customer (KYC), or Office of Foreign Assets Control (OFAC) sanctions screening;

(d) Fraud detection, chargeback management, refund processing, or transaction dispute resolution;

(e) The calculation, collection, reporting, withholding, or remittance of any sales, use, value-added (VAT), or other taxes arising from your transactions;

(f) Enrollment in, communication with, or reporting to any third-party platform program, notwithstanding any Compliance Tools made available under Section 5;

(g) The configuration, maintenance, or operation of any developer-configurable feature of the IAP Service; or

(h) The legal, agency, or other relationship status as between you and any Authorized PSP.

Further, you acknowledge and agree that Unity is not responsible for any service interruptions, delays, or downtime caused by the maintenance, failure, or termination of an Authorized PSP’s systems or APIs.

4.3 Purchase Terms

You acknowledge and agree that:

(a) all purchase transactions facilitated through the IAP Service (whether through in-app purchase mechanisms, external billing, or the Webshop Service) are governed by your purchase terms and/or the terms of the applicable Authorized PSP (“ Purchase Terms”), which must be presented to End Users prior to the completion of any purchase;

(b) You are solely responsible for establishing and maintaining Purchase Terms applicable to your Developer Content, including without limitation pricing, availability, refund policies, privacy policies and any representations or warranties made to End Users; and

(c) all refunds, chargebacks, and disputes arising from transactions facilitated through the IAP Service shall be handled by you and/or the applicable Authorized PSP in accordance with your respective agreements and your published Purchase Terms.

5. Platform Compliance and Responsibilities

You acknowledge that the use of alternative in-app billing or external payment processors is subject to various regulatory schemes and the policy requirements of third-party platforms (e.g., Apple App Store, Google Play Store). Unity may, from time to time, provide features, APIs, or mechanisms within the IAP Service designed to assist you in meeting platform requirements (e.g., facilitating purchase reporting tokens) (“Compliance Tools”). Compliance Tools are optional and operate independently of the core purchase flow, and Unity’s provision of Compliance Tools does not constitute an undertaking by Unity to enroll you in any platform program, submit reports on your behalf, or otherwise act as your agent in any communication with a platform.

You expressly acknowledge and agree that the Compliance Tools are provided for convenience only. Unity provides no representation or warranty that the Compliance Tools satisfy, in whole or in part, your legal or contractual obligations to any platform or regulatory body, and that your use of these features does not shift any compliance burden to Unity. You maintain sole and exclusive responsibility for (i) determining whether offering alternative payment methods is legal and permissible within any specific jurisdiction or territory; (ii) ensuring your implementation and the manner in which you offer alternative payments complies with all applicable platform developer agreements and policies; and (iii) any actions taken by a platform (including app rejection, removal, or account termination) resulting from your use of alternative billing or external payment methods.

6. Fees

Unity does not currently charge you a fee for the IAP Service. You are responsible for any fees, commissions, or other amounts charged by Authorized PSPs, application marketplaces, or other third parties in connection with transactions facilitated through the IAP Service.

7. Webshop Service

7.1 Description of Webshop Service

Unity provides an optional service through which you may choose to create an online storefront for your Project ("Webshop"). When you elect to use this service, Unity will host and make your Webshop available to End Users (“Webshop Service”).

7.2 Payment Processing

All transactions conducted through your Webshop will be processed by the same Authorized PSP(s) that you have selected for your IAP Service integration. You are solely responsible for ensuring that your agreement with the applicable Authorized PSP covers transactions originating from your Webshop.

7.3 End User Accounts

Unity may make available a Unity Player Account login for End Users on the Webshop Service; an account is not required for End Users to make purchases through your Webshop. End Users' use of the Webshop Service is subject to a separate Webshop Terms of Use between Unity and the End User with respect to their use of the Webshop Service only, and you shall not make any representations to End Users regarding the terms of such agreement.

7.4 Developer Content

(a) Developer Content means any in-game items, virtual currency, digital goods, subscriptions or other content or entitlements made available by you for purchase by an end user through the IAP Service (including Webshop).

To enable Unity to build and operate your Webshop, you will provide to Unity, or direct or authorize Unity to obtain on your behalf, the materials required to populate your Webshop, including images, descriptions, icons, logos, product and catalog data, screenshots, third-party application marketplace listing materials, and other media relating to your Developer Content (collectively, "Developer Content Materials").

You acknowledge and agree that Unity may adapt, modify, resize, reformat, or otherwise alter Developer Content Materials as reasonably necessary to build, display, and optimize your Webshop for the Webshop Service. For the avoidance of doubt, Developer Content Materials constitutes User Content for the purposes of the Unity Terms of Service, and the license granted thereunder applies to Unity's use of Developer Content Materials in connection with the Webshop Service.

(b) Marketplace Asset Retrieval. Where you elect to have Unity source Developer Content Materials directly from your application marketplace listing(s) by providing Unity with a URL or other identifier for your listing (a "Marketplace Retrieval Instruction"), you acknowledge and agree that each Marketplace Retrieval Instruction constitutes your express authorization for Unity and its designated third-party service providers to access the identified listing and retrieve, cache, copy, store, display and otherwise use the Developer Content Materials appearing therein solely for the purposes of building, populating, operating, and maintaining your Webshop. You are solely responsible for ensuring that any URL or identifier you provide accurately identifies your own marketplace listing, that you have the right to direct Unity to retrieve the materials at that location, and that doing so does not violate third-party platform terms and policies.

(c) AI-Assisted Theme Generation. The Webshop Service may use AI tools to generate visual themes for your Webshop from your Developer Content Materials and any prompts you submit. Each generated theme constitutes User Content, and any prompts you submit constitute User Data, in each case as defined in and governed by the Unity Terms of Service. You are responsible for reviewing each theme for compliance with the Content Policy and applicable law before publication.

(d) Publicity. In addition to the publicity rights granted in the Unity Terms of Service, you grant Unity a non-exclusive, worldwide, royalty-free license to access, display, reproduce, and reference your Webshop to demonstrate, promote, and publicize the Webshop Service and Unity's other Offerings. Unity will not represent that Unity is the seller or operator of your Webshop.

(e) Representations and Warranties. Without limiting the representations and warranties applicable to User Content under the Unity Terms of Service, and for the avoidance of doubt, you represent and warrant that: (i) your Developer Content Materials, and your use of the IAP Service and your Webshop, comply with the Content Policy; and (ii) your use of the IAP Service and your Webshop complies with the terms and policies of any third-party platform or application marketplace through which you distribute your application or direct End Users to your Webshop (including any applicable Apple App Store and Google Play policies); and (iii) you are responsible for your use of any Unity-provided AI tools and any output you generate using them, including ensuring the output does not infringe third-party rights and is suitable for your use. You are solely responsible for determining and maintaining such compliance, and Unity has no obligation to monitor or verify it.

7.5 Customer Support

You are solely responsible for all End User customer support, complaint handling, and dispute resolution related to Developer Content purchased through the Webshop, and shall include such customer support contact information in your Developer Purchaser Terms.

8. Proprietary Rights and API Usage Restrictions

8.1 Authorized Use

All Documentation, Policies, APIs, and other functionality provided in connection with the IAP Service and the IAP Service SDK are intended solely for your direct, internal use and, subject to Section 3 above, is strictly limited to facilitating payments and reporting End Users transactions within your specific Projects integrated with the IAP Service.

8.2 Prohibited Use

Except as expressly authorized by Unity in writing, you shall not, and shall not permit any third party to:

(a) Access or use the IAP Service, IAP Service SDK, or associated APIs to: (i) develop, support, or offer a competing payment abstraction, transaction mediation, or financial reporting service; (ii) integrate any payment service provider, billing mechanism, or webshop/online storefront with the IAP Service other than an Authorized PSP; or (iii) use the IAP Service or IAP Service SDK to identify or 'map' Unity’s proprietary API logic for the purpose of developing a functionally equivalent service; or

(b) Utilize the APIs to scrape, crawl, aggregate, or redistribute data for any commercial purpose or for the benefit of any third party. Your use of transaction reporting data will be limited to your own internal business intelligence related to the performance of your Project.

For the avoidance of doubt, nothing in this Section 8.2 restricts your right to independently develop and operate your own webshop for your Project. If you elect to integrate such webshop with the IAP Service for item fulfillment or transaction reporting, transactions processed through your webshop must utilize an Authorized PSP.

8.3 Third-Party Access Restrictions

You are strictly prohibited from sharing API keys, credentials, or providing direct access to the IAP Service APIs to any third-party service provider without Unity’s prior written consent; provided, however, that access may be granted to an Authorized PSP solely as required for the technical processing of payments facilitated by the IAP Service.

9. Disclaimers and Indemnification

9.1 Additional Disclaimers.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNITY DISCLAIMS ALL LIABILITY FOR ANY FINANCIAL LOSS, TRANSACTION FAILURE, OR REGULATORY NON-COMPLIANCE ARISING FROM YOUR RELATIONSHIP WITH AN AUTHORIZED PSP OR YOUR ELECTION TO USE ALTERNATIVE PAYMENT METHODS. UNITY FURTHER DISCLAIMS ALL LIABILITY FOR ANY CLAIMS BY END USERS RELATING TO YOUR DEVELOPER CONTENT, YOUR TERMS AND CONDITIONS OF SALE, OR ANY TRANSACTION FACILITATED THROUGH THE IAP SERVICE, AND FOR ANY LOSS MISGRANT, OR DENIAL OF ENTITLEMENTS ARISING FROM YOUR USE OF OR RELIANCE ON ENTITLEMENT RECORDS, COMPLIANCE TOOLS OR ANY DEVELOPER-CONFIGURED FEATURE OF THE IAP SERVICE.

9.2 Indemnity.

In addition to your indemnification obligations in the Unity Terms of Service, you will defend, indemnify, and hold harmless Unity from and against any claims, damages, or losses (including regulatory fines) arising out of: (a) your breach of any Platform provider’s policies; (b) your failure to comply with AML/KYC or tax regulations; (c) any dispute between you and a PSP or an End User regarding a transaction; (d) Purchase Terms or any claims by End Users relating to purchases made through the IAP Service; or (e) your configuration of any developer-configurable feature or the IAP service.

10. Termination

Unity reserves the right to suspend or terminate all or part of your access to the IAP Service if Unity determines, in its sole discretion, that your use of the service violates platform policies or exposes Unity to legal or financial risk. Sections 4, 5, 6, 7.4, 7,5, 9 and 10 and any other provision that by its nature should survive, together with any rights or obligations accrued prior to termination will survive any termination or expiration of these IAP Terms.
