Terms and Conditions for Marketing Asset Submission

For good and valuable consideration, including without limitation the opportunity to potentially appear in Unity Technologies SF (“Unity”) blogs and publicity through accreditation whenever any Released Assets appears, the receipt and sufficiency of which is hereby acknowledged, Company hereby irrevocably agrees as follows:

“Released Assets” means content provided by the Company as indicated on the Creator Asset Submission form.

1. Grant of Rights. By submitting your Released Assets:

• You grant Unity a royalty-free, worldwide, irrevocable, and non-exclusive right to use, copy, distribute, display, and publish your Released Assets on Unity’s platforms and marketing materials. Unless stipulated otherwise in the Creator Asset Submission form, these rights are perpetual.
• You grant Unity the necessary legal rights to use your Released Assets as specified in the Creator Asset Submission form.

2. Ownership and Permissions. You affirm that:

• You possess the full authority to submit the Released Assets and grant the rights specified in these terms and conditions.
• The Released Assets you submit do not infringe on the rights of any third party (including copyrights, trademarks, patents, trade secrets, privacy rights, publicity rights, or any other intellectual property rights).

3. Release of Claims. You release Unity, its employees, agents, and contractors from any claims demands, or causes of action that you, your employees, agents, or independent contractors may have against Unity, its employees, agents, or independent contractors, arising out of or in any manner connected with:

• Unity’s use of your Released Assets.
• Any infringements of privacy or other rights related to the usage of the Released Assets.

4. Existing Agreements with Unity. These terms do not alter any existing agreements you have with Unity. All other agreements you have entered into with Unity remain valid and in effect.

5. Use of Content. Unity is not obligated to utilize the Released Assets you submit.

6. Governing Law. These terms and conditions will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Acknowledgment. By submitting your Released Assets, you acknowledge that you have read, understood, and agree to these Terms and Conditions for Marketing Asset Submission. If any provision of these terms and conditions is found to be invalid, the remaining provisions will continue to be valid and enforceable.
